General Agreement Terms*
You have the authority to enter into this contract on behalf of yourself, your company, or your organization. You agree to provide me with everything that we need to complete the project including text, images, and other information as and when needed in the requested format. You’ll review the work and provide feedback and approval in a timely manner. Please note failure to respond to communication for more than 2 weeks will cause your project to marked inactive. The client will then have to contact SBE for updated turnaround times. The client who fails to communicate past 3 months will be moved to close and the client will forfeit deposit and any payments made to date. Deadlines work two ways, so you’ll also be bound by any dates we set together and communicate if any adjustments are needed. The client agrees to stick to the payment schedule set out at the end of this contract. We have the experience and ability to perform the services needed and will carry them out in a professional and timely manner, providing you with stellar customer service throughout the duration. Along the way, SBE will endeavor to meet all the deadlines set but cannot be responsible for a missed launch date or a deadline if on your end there has been a delay in supplying materials or you have not approved or signed off on the work on-time at any stage. On top of this, we will also maintain the confidentiality of any information provided.

Copyright Terms*
Copyright Usage: The rights granted to you are for the usage of the Final Design in its original form only. You may not modify the Final Design. License: EXCLUSIVE, UNLIMITED, Pittsburgh, PA, ELECTRONIC, AND PRINT USE ON ALL MEDIUMS DIRECTLY ASSOCIATED. Soleil Branding Essentials reserves the right to include any of the completed work in my portfolio. Soleil Branding Essentials retains all rights in and to all Preliminary Designs and source files that remain the exclusive property of Soleil Branding Essentials. You own the visual elements created for this project. Soleil Branding Essentials will provide you finished files and you should keep them somewhere safe as I'm not required to keep a copy but will maintain a copy for 1 year. The finished files will include high-resolution print and web files along with a vector file which can by another designer if necessary. You own all elements of text, images, and data you provided unless someone else owns them.

Payment & Cancellation Terms*
Fee: We have agreed to the above-selected payment arrangement for this project. If you use the method of checks, make the check is made payable to Soleil Branding Essentials. Any returned check you will be responsible for insufficient funds of $40.00 plus the installment. Payment due NET 15 days from the issuance of invoice. A one and one half (1.5%) monthly service charge will be billed against late payments. Grant of copyright is conditioned upon receipt of final payment, and upon the Client's compliance with the terms of this agreement. Cancellation Fees: In the event of Cancellation, Soleil Branding Essentials will be compensated for services performed through the date of cancellation in the amount of a prorated portion of the fees due. Upon cancellation, all rights to the work revert to the Soleil Branding Essentials and all original art must be returned, including sketches, comps, or other preliminary materials.

Design & Revison Terms*
This contract allows for initial custom designs, developed to one main design, plus the opportunity for you to make up to 2-3 rounds of revisions, for each graphic element listed in the estimate. Revisions may be made only during the Preliminary Design or Revision phase(s). Additional fees will be charged for revisions made after 2-3 preliminary design revisions, and for additions to project scope. Soleil Branding Essentials is not responsible for writing or editing any text copy unless specified in the original estimate. You should supply graphic files in an editable, vector digital format. You should supply photographs in a high-resolution digital format. Soleil Branding Essentials will also own a selection of stock photos and will make available for your use where applicable.
